Terms of Use

1. Definitions

“Services” means cybersecurity consulting, penetration testing, secure software development, digital solutions, training, and any other professional services provided by PWN-ALL.

“Digital Content” means downloadable materials, e-books, reports, or similar products.

“Applicable Law” means the laws of the United Arab Emirates and the Emirate of Dubai.

“Client” means any entity or individual purchasing or engaging Services. Services are primarily offered on a business-to-business (B2B) basis.

2. Acceptance of Terms

By using our Services or Website, you confirm that you have the legal capacity to enter into binding agreements in your jurisdiction. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you are authorized to bind such entity.

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Interfere with or disrupt the operation of the Website or Services;
• Attempt unauthorized access to data, networks, or systems;
• Use the Services in violation of Applicable Law, including cybersecurity and data protection laws;
• Misrepresent your identity or provide false information.

We may suspend or terminate your access if you breach these Terms.

In addition, you agree to:

• Provide timely and accurate information, access, and cooperation necessary for us to perform the Services;
• Obtain all necessary consents or authorizations from third parties prior to granting us access to any systems, data, or networks;
• Ensure that your use of any deliverables complies with all Applicable Law.

4. Payments and Billing

All fees must be paid in advance, unless otherwise agreed in writing.

We accept USD, AED, EUR, and GBP. VAT applies only to UAE residents.

Any late or failed payments will be subject to the conditions outlined in your signed contract, or—if no specific contract applies—an interest rate of 1.5% per month (or the maximum rate permitted under Applicable Law) will be applied to overdue balances.

Prices may change without prior notice; however, confirmed orders will not be affected by subsequent price changes.

5. Refund & Cancellation

All matters relating to refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms as if set out in full herein.

Summary: Certain Services may be non-refundable once commenced, including but not limited to penetration testing and custom development work. Digital Content purchases are non-refundable once delivered. Full details are provided in the Refund & Cancellation Policy.

By using our Services, you agree to be bound by that policy.

6. Intellectual Property

All content on the Website and within the Services—including text, code, logos, graphics, reports, training materials, and methodologies— is the exclusive property of PWN-ALL or its licensors. You may not copy, modify, distribute, or use such content without our prior written consent.

Except as otherwise agreed in writing, all methodologies, tools, and know-how used in the course of performing the Services remain the exclusive property of PWN-ALL. However, reports, test results, and other deliverables created specifically for you as part of the Services (“Client Deliverables”) shall be licensed or transferred to you upon full payment of applicable fees, for your internal business use.

7. Confidentiality

Where Services involve the exchange of sensitive information, both parties shall maintain confidentiality and use such information solely for the engagement’s purposes. Exceptions include disclosures required by law, regulation, or court order. These obligations survive termination.

8. Disclaimers

The Services are provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free, or immune from cyber threats. You acknowledge that cybersecurity work carries inherent risks and that no service can guarantee complete security. However, we shall provide the Services with reasonable skill and care in accordance with professional standards.

9. Limitation of Liability

To the maximum extent permitted by Applicable Law:

• Our aggregate liability for any claim shall not exceed the total fees paid by you for the specific Service giving rise to the claim; and
• We are not liable for indirect, incidental, or consequential damages (including loss of profits, data, or goodwill).

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless PWN-ALL, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Website or Services immediately if you breach these Terms, misuse the Services, or engage in unlawful conduct. You may terminate your use of the Services at any time by providing written notice, subject to the Refund & Cancellation Policy. Termination does not relieve you of the obligation to pay for any Services already completed (whether full or partial work performed). Upon termination, all rights granted to you under these Terms cease immediately.

12. Force Majeure

We are not liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, telecommunications failures, or cyber incidents of unprecedented scale.

13. Modifications to Terms

We may revise these Terms at any time by posting updates on this page. Your continued use of the Services after updates are posted constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. By accessing or using our Services, you agree that any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

15. Miscellaneous

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. These Terms constitute the entire agreement between you and PWN-ALL regarding the Services and supersede all prior agreements. No failure or delay in exercising any right shall operate as a waiver thereof.
